This Sponsor Authorization Agreement ("Agreement") is entered into between Bangr Inc. ("Bangr") and the sponsoring party identified below ("Sponsor").

1. Purpose

This Agreement grants Bangr permission to display the Sponsor's brand name, logo, and related trademarks within the Bangr mobile application in connection with sponsored MLB game content, including but not limited to inning sponsorships and full game sponsorships.

2. Grant of Permission

The Sponsor hereby grants Bangr a non-exclusive, royalty-free, revocable license to:

1. Display the Sponsor's brand name, logo, and approved trademarks within the Bangr app to users during sponsored innings or games.
2. Feature the Sponsor's brand in "brought to you by" messaging, sponsor banners, and related promotional displays within the app.
3. Reference the Sponsor's participation in Bangr sponsorship programs in marketing and promotional materials.

3. Sponsor Obligations

The Sponsor agrees to:

1. Provide Bangr with approved brand assets (logo, display name) suitable for in-app display.
2. Provide prizes (coupons, gift cards, or discounts) as agreed upon for each sponsored inning or game.
3. Honor all prizes distributed to Bangr users for a minimum of 7 days from the date of issuance.
4. Notify Bangr promptly of any changes to brand assets or desire to modify or terminate the sponsorship.

4. Bangr Obligations

Bangr agrees to:

1. Display the Sponsor's brand in a professional and respectful manner consistent with the Sponsor's brand guidelines.
2. Not alter, distort, or misrepresent the Sponsor's brand or trademarks.
3. Remove the Sponsor's branding from the app promptly upon written request or termination of this Agreement.

5. No Cost to Sponsor

There is no monetary fee associated with this sponsorship. The Sponsor's sole obligation is to provide the agreed-upon prizes for Bangr users as described in Section 3.

6. Term & Termination

This Agreement is effective upon signing and remains in effect until terminated by either party. Either party may terminate this Agreement at any time with written notice to the other party. Upon termination, Bangr will cease displaying the Sponsor's branding within a reasonable timeframe.

7. Limitation of Liability

Neither party shall be liable to the other for any indirect, incidental, or consequential damages arising from this Agreement. Bangr's total liability under this Agreement shall not exceed the value of prizes provided by the Sponsor.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
